Partner Program Terms

These terms form an agreement between you (“Partner”) and CherryWave LLC (“Conecto,” “we,” or “us”) when you create a Conecto partner account. By joining, you agree to these terms and our Privacy Policy.
1. Eligibility and enrollment
The Conecto Partner Program is available to individuals and organizations legally able to enter a binding agreement and receive business payments. You must provide accurate account, tax, and payout information. We may accept, decline, suspend, or close an account where reasonably necessary to protect customers, the program, or Conecto.
You may maintain one partner account unless we approve otherwise. Creating multiple accounts to bypass program rules is prohibited.
2. Referral attribution
Your partner link uses a first-party cookie that remains eligible for 120 days after a valid click. Attribution occurs when the visitor creates a new Conecto account during that period. If a later valid partner link replaces the cookie before signup, the most recent eligible partner receives attribution.
Attribution is tied to the account at signup and cannot be transferred later. Existing Conecto users, expired cookies, deleted cookies, invalid codes, and signups completed before the tracked click are not eligible.
3. Commission
The standard commission is 20% of eligible subscription revenue paid by a referred customer during the customer’s first six paid months. The six-calendar-month commission window begins on the first positive eligible subscription invoice, not on the click, signup, trial start, or a zero-value invoice.
Commission recurs only while the referred customer remains subscribed and successfully pays an eligible invoice within that six-month window. The program does not promise six payments: cancellations, payment failures, pauses, free periods, or billing intervals can reduce the number of qualifying invoices. If an annual or other long-period invoice covers service beyond the six-month window, its eligible revenue is prorated to the covered service inside the window.
Eligible revenue means direct, self-serve Conecto subscription fees actually received, excluding taxes, refunds, credits, chargebacks, disputed amounts, AI credit top-ups, payment-processing or pass-through fees, Conecto Pay transactions, professional services, and separately negotiated enterprise or reseller arrangements unless agreed in writing.
4. Reporting and adjustments
The partner portal is the program’s reporting record. A commission normally remains pending for 72 hours before it becomes payable. Currency conversions shown before payout are estimates; the recorded payout conversion governs the final amount.
Refunds, partial refunds, disputes, chargebacks, and billing corrections proportionally reduce or reverse related commission. If a reversal occurs after payout, the amount becomes a clawback against future payable commission. We may correct demonstrable tracking or calculation errors.
5. Payouts and tax forms
You may request a payout after your payable balance reaches $10 USD or €10 EUR. Payouts are reviewed and generally sent through Wise to the email on your partner account. Bank availability, identity review, sanctions screening, and processing times vary by country.
A current W-9, W-8BEN, or W-8BEN-E is required before payout. You are responsible for the accuracy of your tax form and for reporting and paying taxes that apply to your earnings. Payout requests may be held while information is incomplete or under review.
6. Acceptable promotion
You may use truthful reviews, tutorials, comparisons, newsletters, social posts, communities, client recommendations, and paid promotion that complies with applicable law and platform rules. Clearly disclose that you may earn a commission.
You may not impersonate Conecto; make misleading claims; promise unavailable features, prices, or outcomes; send unsolicited bulk messages; use malware, cookie stuffing, hidden redirects, or forced clicks; bid on Conecto trademarks or confusing misspellings in search advertising; register confusing domains or social identities; or present yourself as an employee or exclusive representative.
7. Self-referrals and abuse
You cannot earn commission on your own Conecto account, accounts you control primarily to generate commission, fabricated customers, circular payments, or other artificial transactions. Agencies may refer genuinely independent client businesses they advise, provided the client controls and pays for its own Conecto subscription.
We may withhold, reverse, or recover earnings connected to fraud, abuse, policy violations, unlawful promotion, or a material breach of these terms.
8. Brand and content
Conecto grants you a limited, revocable, non-exclusive permission to use approved names and program materials only to promote Conecto under these terms. Do not alter marks in a misleading way or imply endorsement of unrelated products. You retain ownership of your independent content and grant us permission to share or reference it only where you have made it public or separately agreed.
9. Changes and termination
You may leave the program at any time. We may change program economics or these terms prospectively by publishing updated terms or notifying active partners. A change does not reduce commission already recorded, but future invoices may be governed by the updated terms after reasonable notice.
On ordinary termination, valid commission already recorded remains subject to payout rules. On termination for fraud, abuse, illegality, or material breach, related unpaid commission may be forfeited and improperly paid amounts may be recovered.
10. General terms
The program is provided “as is” without a guarantee of traffic, customers, earnings, uninterrupted tracking, or continued availability. To the fullest extent permitted by law, CherryWave LLC is not liable for indirect, incidental, special, consequential, or lost-profit damages arising from the program.
These terms are governed by the laws applicable to CherryWave LLC, without regard to conflict-of-law rules. If one provision is unenforceable, the remainder continues in effect. These Partner Program Terms and any written program-specific agreement are the complete agreement for this program.
